Corporate Lawyer

DESCRIPTION

The Corporate Lawyer shall be responsible for the day-to-day management and legal work of primarily Cyprus companies, as well as companies incorporated in other jurisdictions.

KEY FUNCTIONAL AREAS - DUTIES & RESPONSIBILITIES

 

CORPORATE 

  • Assisting with the incorporation and day-to-day management of legal entities in Cyprus and foreign jurisdictions.
  • Liaising with clients, other professional advisers and public / regulatory authorities (as necessary). 
  • Preparing, reviewing and executing various legal documents, including directors’ and shareholders’ minutes / resolutions, Powers of Attorneys, agreements (such as loan agreements, pledge agreements, sharepurchase agreements), etc. 
  •  Assisting clients with matters relating to the abovementioned agreements, mergers and acquisitions, joint ventures, corporate restructurings, trusts, etc. 
  • Performing legal research and preparing relevant reports.

COMPLIANCE

  • Assisting with transactional compliance matters.
  • Assisting with client due diligence for corporate and trust structures.
  • Implementing KYC procedures relating to clients.
  • Ensuring compliance of various legal entities with applicable AML and Data Protection laws / regulations / directives, best corporate practices and internal regulations.
  • Communicating with the clients and associates on a regular basis.

CUSTOMER SUPPORT

  • Communicating with clients to receive or provide information required to complete all necessary work in relation to the Legal Department. 
  • Providing timely and quality service to clients. 

REPORTING

  • Preparing reports for the management team or the Department that she/he is assigned to.

 

 

 

OTHER

  • Carrying out any other duties and responsibilities that may be deemed necessary by a Manager of the Department or the Management of the Firm. 

 

EXPERIENCE

&

KNOWLEDGE

 

 

 

  • University Degree in Law (LLB). 
  • Cyprus Bar Exams (or similar qualifications) and LLM in Corporate / Commercial Law shall be considered an advantage. 
  • At least 2 years of relevant experience in a similar role.
  • Good knowledge of Microsoft Office applications (Excel, PowerPoint, Word, Outlook) and Quorum. 
  • Fluent business level in both Greek and English language. 
  • Strong organisational, communication and interpersonal skills.
  • Ability to take initiative.
  • Proven ability to multi-task, work under pressure and meet strict deadlines.
  • Professional attitude and appropriate work ethic.

INFORMATION

 

Accesses:  Access to Quorum, Navision Software, Corporate Administration shared server folders, shared email inbox, clients’ server folders, any other system / software which is mandatory for the implementation of corresponding tasks.

Office space:  Open Space.

Equipment: Desktop computer, telephone line, multifunction machine.
