We are looking for a Legal Counsel with a focus on Corporate Law to be based in our sunny office in Limassol, Cyprus
The Legal Counsel role will strengthen the support provided by the Legal Department to the various departments in Exness. The role will focus on administration of the Exness group of companies (registered in various jurisdictions), revision/drafting/negotiation of agreements and advising on related corporate and business matters.
We are looking for a lawyer with experience in Corporate Law, including administration of companies, who is commercially oriented and eager to learn and understand our business and the services Exness provides.
You will be responsible for:
- Incorporation and maintenance of companies in various jurisdictions
- Liasing with external lawyers, agents and service providers for the administration of Group companies
- Preparation and revision of corporate and other legal documentation and reviewing and drafting of minutes, resolutions, powers of attorneys, agreements and contracts
- Drafting internal legal opinions / memos and advising on corporate, commercial and contract law issues and reviewing vendor relationships
- Overseeing provision of KYC, translation / legal verification of documents
- Ensuring maintenance of the legal files of the Company
- Ensuring compliance with statutory requirements of various jurisdictions
- Arranging board meetings for Group companies and ensuring Group directors are sufficiently informed of corporate matters
- Research, anticipate and guard Company against legal risks
- Other ad-hoc request as requested from time to time
Required to have:
- Minimum 5 years legal experience working in a law firm or other relevant experience
- Experience in handling corporate law matters, including administration of companies
- Strong project and process management skills
- A thorough approach to work and attention to details
- A commercial mindset
- Excellent written and verbal communication skills in the English and Greek languages
- Holder of at least a University degree in Law (LLB)
Wanted but not necessary is:
- Experience working in or with owner led organisations
- Experience in the financial services industry
- Proficiency in the Russian language
