Corporate Lawyer – Companies Administration department

Job Description:

We are currently seeking a Corporate Lawyer to join our firm’s Companies Administration department in Nicosia. The remuneration package will be according to qualifications and experience.

Responsibilities include:

1. Managing matters regarding the incorporation of companies and corporate governance and handling various aspects of corporate transactions;

2. Maintaining and keeping up to date, as required, the corporate register and statutory records of companies;

3. Managing the clients’ portfolio concerning convening and assisting with board of directors meetings, annual general meetings, including taking the minutes thereof;

4. Preparing and reviewing corporate documents such as corporate authorisations, minutes, power of attorneys incumbency certificates and other relevant documents;

5. Liaising with clients, auditors, external regulators and professional advisors;

6. Communicating with the Registrar of Companies, banks, and other relevant authorities;

7. Coordinating and performing regulatory filings and other relevant procedures with competent authorities in Cyprus;

8. Handling of due diligence / KYC procedures, including setting up and managing compliance procedures, collecting and maintaining due diligence documents, ensuring compliance with AML legislation and performing due diligence on clients;

9. Performing other duties as required.

Requirements:

1. Law degree from a recognized university. A Master’s degree will be considered an advantage.

2. Member of the Cyprus Bar Association.

3. 3 to 5 years of post-qualification experience in a similar position.

4. Excellent knowledge of Greek and English, oral and written.

5. Very good knowledge of Microsoft Office, including Word and Excel. Knowledge and operation of ZYGOS software will be considered as an advantage.

6. Operation of ARIADNI portal and the e-Filing system of the Registrar of Companies.

7. Ability to handle transactions with minimum supervision.

8. Organizational skills and ability to work effectively in a team and individually.

9. Strong interpersonal and communication skills.

10. Very good knowledge of legal research tools and software.

11. High ethical standards and professional integrity.

12. Ability to manage and prioritize multiple cases.
